10. Green Market Hardware

Our Green Market program offers refreshed and refurbished enterprise-grade networking equipment. All Green Market product descriptions, specifications, availability, condition assessments, and pricing on the Website are for informational purposes and may change without notice. Stated savings percentages are estimates based on comparison to OEM list pricing at the time of quotation and may vary depending on product availability, condition, configuration, and market conditions. Inventory quantities displayed are approximate and subject to change; specific availability is confirmed only upon order acknowledgment.

Unless a separate warranty agreement is in place, refreshed and refurbished equipment is provided “AS-IS, WITH ALL FAULTS.” The original manufacturer’s warranty does not apply to and is not transferred with Green Market equipment; any warranty coverage is provided solely by RocNet as expressly set forth in the applicable purchase agreement. Software and firmware resident on Green Market equipment remain subject to the original manufacturer’s license terms. RocNet does not grant, transfer, or sublicense any right to use manufacturer software, and the customer is solely responsible for obtaining any required license or entitlement directly from the manufacturer. Warranty coverage, returns, software licensing, and all other terms governing Green Market hardware are set forth exclusively in the applicable purchase agreement.

11. Professional Services

Descriptions of our professional services, including network design, deployment support, sourcing, and lifecycle optimization, are for informational purposes only and provide a general overview of our capabilities.

Actual scope, deliverables, timelines, pricing, and other terms for professional services are governed exclusively by separate statements of work or service agreements. Nothing on the Website commits us to provide services or creates any obligation to enter into a service agreement. RocNet’s professional services, including network design recommendations and deployment guidance, are advisory in nature. You are responsible for all decisions regarding your network architecture, equipment selection, and deployment, and we do not guarantee any particular outcome from implementation of our recommendations.

23. Arbitration

At our sole discretion, we may require any dispute arising from these Terms or your use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to be submitted to final and binding arbitration under the Rules of the American Arbitration Association applying New York law. Any such arbitration will take place in Monroe County, New York.

EACH PARTY HEREBY IRREVOCABLY WAIVES ALL RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE.

Provisions of these Terms that by their nature should survive termination or expiration will remain in force, including without limitation the Intellectual Property Rights, Disclaimer of Warranties, Limitation on Liability, Indemnification, and Governing Law and Jurisdiction sections.

28. No Third-Party Beneficiaries

These Terms are for the sole benefit of you and the Company and do not confer any rights or remedies on any third party.

29. Entire Agreement

These Terms, together with our Privacy Policy, available at www.rocnetsupply.com/privacy, and Cookie Policy, available at www.rocnetsupply.com/cookies, constitute the sole and entire agreement between you and Rochester Network Supply, Inc. regarding your access to and use of the Website, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website. These Terms do not govern the purchase of products or services, which is subject to our separate General Terms and Conditions of Sale, available at www.rocnetsupply.com/salesterms, or other applicable purchase agreement.
